Please read these terms and conditions of sale carefully before placing your order and retain a copy of these terms and your order for future reference.

1.        The website
1.1.      The NPSUK.NET website (“the website”) is owned and operated by Nasons Poultry Suppliers. All of the goods on this website are offered by Nasons Poultry Suppliers, whose registered office is 3 Cosgrove Way, Luton, Bedfordshire, LU1 1XL, registered in England and Wales [“the supplier”] which will be the contracting party for any order you place.

2.        Terms and Conditions
2.1.      These Terms and Conditions of Sale apply to all transactions for the sale of goods on the Website and orders received over the telephone and fax. They do not affect your statutory rights. We may change these Terms and Conditions at any time. Any changes will take effect on the date they are posted on the Website.

3.        Description of goods
3.1.      The description of the goods will be as shown on the suppliers product list available on the suppliers website at the time you place the order or available upon request.
3.2.      The goods are subject to availability. If on receipt of your order the goods you have ordered are not available in stock we will not accept your order.
3.3.      If after acceptance of your order the supplier discovers that the goods are unavailable we may terminate the contract and refund or re-credit you for any sum that has been paid by you for the goods.

4. Prices and Promotions
4.1.      All prices and charges on the Website are shown in UK pounds sterling. The prices are exclusive of any VAT payable and exclude delivery charges. Every effort is made to ensure that the prices shown on the suppliers’ website are accurate and exact at the time you place your order.
4.2.      On occasion, the prices payable and promotions offered in respect of goods advertised on the Website may differ from those prices and promotions offered at the same time at the NPS cutting plant. We are under no obligation to honour any NPS cutting plant price or promotion in the event that they differ from those on the Website. Similarly, Nasons Poultry Suppliers are under no obligation to honour any Website price or promotion in the event that they differ from those in the NPS cutting plant.
4.3.      Although we endeavour to ensure that all pricing information on the Website is accurate, occasionally an error may occur and goods may be miss-priced. If we discover a pricing error we will, at our discretion, either: contact you and ask you whether you wish to cancel your order or continue with the order at the correct price; or notify you that we have cancelled your order. We will not be obliged to supply goods at the incorrect price.
4.4.      Prices that are reduced for sales and promotions are only valid for the specified period. We reserve the right to adjust prices, offers, goods and specifications of goods on the Website at our discretion at any time before (but not after) we accept your order.

5. Ordering
5.1.      Please see the how to order section at for information on how to place an order.
5.2.      All orders made by you through the Website are subject to acceptance by NPS. We may choose not to accept your order for any reason and will not be liable to you or to anyone else in those circumstances.

5.3.      If you order goods which are not available from stock, we will contact you and give you the option to wait until the goods are available from stock, or cancel your order in accordance with our cancellation and returns policy.
5.4.      Acceptance of your order and the formation of a contract between NPS will take place when we accept your order and confirm that the goods you have ordered have been dispatched to you unless we have notified you that we do not accept your order or you have cancelled it in accordance with our cancellation and returns policy.

6. Right to Withdraw Goods
6.1.      We reserve the right to withdraw any goods from the Website at any time.
6.2.      We will not be liable to you or any customer for withdrawing any goods from the Website.

7. Payment
7.1.      The total cost of your order is the price of the goods, and will be confirmed to you on delivery. Payment shall be due immediately upon delivery [COD] and the time for payment shall be a fundamental term of this agreement, breach of which shall entitle the supplier to terminate the contract immediately.
7.2.      Payment can be made by most major credit or debit cards and will be debited from your account upon or shortly dispatch of the goods to you.
7.3.      You confirm that the credit/debit card that is being used is yours. All credit/debit card holders are subject to validation checks and authorisation by the card issuer. If the issuer of your card refuses to authorise payment we will not accept your order and we will not be liable for any delay or non-delivery and we are not obliged to inform you of the reason for the refusal.

8. Delivery and Risk
8.1.      We dispatch items ordered by you as they are available using the method of delivery specified in the deliveries section.

8.2.      We are only able to deliver to addresses in the United Kingdom. Orders will be sent to the delivery address that you have registered in "YOUR ACCOUNT". We cannot be held responsible if this delivery address is incorrect. If you wish to change the delivery address prior to submitting your order you may do so by contacting the Tele-sales department and providing them with the new details in the "YOUR ACCOUNT" section.
8.3.      We will use our reasonable endeavours to ensure that the estimated delivery times set out in the deliveries section are met but we cannot accept any liability for late deliveries which are due to circumstances outside of our reasonable control. In this case the supplier will inform you as soon as possible.
8.4.      Orders placed before 5pm on any day of the week [Mon – Sat], will be processed that day and will be delivered the next day as per requested delivery option provided all the goods are available. (This does not include any bank, public or religious holidays).
8.5.      It is the customer’s responsibility upon receipt of your order to ensure the goods or products delivered are in good condition. If there is anything wrong with the goods delivered then refuse the delivery and record it on the invoice. Failure to do so may affect any warranty claims that you make thereafter.
8.6.      If you deliberately fail to take delivery of the goods (otherwise than by reason of circumstances under the control of the supplier) then without prejudice to any other right or remedy available to the supplier, the supplier may:
8.6.1.           store the goods until actual delivery and charge you for reasonable costs (including insurance) of storage;
8.6.2.           sell the goods at the best readily obtainable price and (after deducting all reasonable storage and selling expenses) account to you for any excess over the price you agreed to pay for the goods or charge you for any shortfall below the price you agreed to pay for the goods.

9. Returns
9.1.      NPS does not operate a returns policy unless the goods are defective:
9.2.      In circumstances where NPS agrees to accept return of goods, a charge of 25% of the invoice value will be made.

10. Title of goods/Risks
10.1.   Notwithstanding delivery and the passing of risk, the property in all the goods delivered by NPS to the customer shall remain vested in NPS until unconditional payment in full is received and cleared through the NPS’s bank account not only for the goods but also for goods and/or services comprised in any other contract with NPS and the customer which have been delivered and/or performed but remain unpaid.
10.2.   Once the goods have been received by you, all risk of damage to, or loss of, the goods shall pass to you.
10.3.   Ownership of the goods shall not pass to you until the supplier has received in full [in cash or cleared funds] all sums due to it in respect of the goods and all other sums which are due or which become due to the supplier from your account.
10.4.   The customer shall hold the goods upon the trust of NPS.
10.5.   The customer shall at all times keep the goods comprehensively insured against normal perils and damage.
10.6.   The customer shall permit any officer, employee or representative of NPS to enter onto the customer’s premises or other site where the goods are located and to repossess the goods.
10.7.   The supplier shall be entitled to recover payment for the goods even though ownership of any of the goods has not passed from the supplier.

11. Cancellation & Returns
11.1.   Should you wish to cancel or return any of your goods, you may only do so at any time up to in accordance with our cancellation and returns policy. Please note that this policy has some limitations and may not apply to some of the local business customers.
11.2.   To exercise your right of cancellation, you must give written notice to the supplier by hand, post or through telephoning the Tele-sales department, giving details of the goods ordered.
11.3.   Except in the case of damaged goods, if you exercise the right of cancellation after the goods have been delivered to you, you will be responsible for returning the goods to the supplier at your own cost. The goods must be returned to the supplier immediately. You must take reasonable care to ensure the goods are not damaged in the meantime or in transit.
11.4.   In the case of damaged goods, NPS shall after receiving notification from the customer, either collect the goods from you or ask you to return the goods yourself.

13. Guarantees and Warranties
13.1.   Except where otherwise specified all goods and products supplied by the supplier are warranted free from defects for 12 months from the date of supply. This warranty does not affect your statutory rights as a consumer.
13.2.   This warranty does not apply to any defect in the goods arising from wilful damage, accident, negligence by you or any third party, use otherwise than recommended by the supplier.
13.3.   The supplier warrants that the goods at the time of delivery shall correspond with the description of the goods, be free from defects and shall comply with any agreed specifications. If any goods do not conform to that warranty, NPS will at its option:
13.3.1.        replace the goods found not to conform to the warranty; or
13.3.2.        Take such steps as NPS deems necessary to bring the goods into a state where they are free from such defects PROVIDED THAT the liability of NPS shall in no event exceed the purchase price of the goods and performance of any one of the above options shall constitute an entire discharge of NPS’s liability under this warranty.
13.4.   Goods found defective will be credited or replaced without charge according to the terms NPS’s standard warranty, provided that written notice is given within the guarantee period. In no case will NPS be liable for repairs made without its knowledge or sanction, or for indirect damage, or any consequential loss or expense incurred by the purchaser.

14. Severance
14.1.   Each provision of these Terms and Conditions of Sale shall be construed separately and independently of each other and the validity of any one part shall not affect the validity of any other part.

15. Law
15.1.   These Terms and Conditions of Sale shall be governed by the laws of England and you agree to submit to the non-exclusive jurisdiction of the English courts. We are required by law to inform you that sales can be concluded in English only and that no public filing requirements apply.

16. Data Protection Act 1998
16.1.   NPS reserves the right to consult whomsoever it considers appropriate for the purposes of Trade References and will record information in respect of such opinions, which will be made available to other businesses for the continuing assessment of Credit risk.  NPS never make your personal details available to other companies for marketing purposes other than for the marketing of NPS branded products and services. NPS may hold your personal details in order to process your order and/or maintain your account.

17. Cookies
17.1.   As part of our high security standards, when you enter this website we will use cookies. Cookies are small pieces of information which are stored by your browser on your computer's hard drive. NPS has relationships with carefully selected and monitored suppliers to assist in the delivery of a high quality website. Some of these suppliers may also set cookies during your visit in order to meet contractual obligations with NPS. These cookies do not store any personal details relating to you or your credit cards. If you do not wish to receive cookies you will not be able to use this website.
